These Terms of Service ("Terms") govern your access to and use of the Jaimy application, website, and services (collectively, the "Service") provided by Jaimy Inc. ("Jaimy," "we," "our," or "us"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
These Terms form a binding legal agreement between you and Jaimy. You represent that you have the legal capacity to enter into this agreement.
The Service is intended for adults. You must be at least 18 years old (or the age of majority in your jurisdiction) to use Jaimy. If you are between 13 and 18, you may use Jaimy only with the involvement and consent of a parent or guardian, and by using the Service you affirm that you have such consent. Children under 13 are not permitted to use Jaimy.
We may update or modify these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of this document and, for significant changes, by additional notice (such as via email or an in-app notification). It is your responsibility to review these Terms periodically. Your continued use of the Service after changes have been posted constitutes your acceptance of the revised Terms. If you do not agree with a change, you must stop using the Service and, if applicable, cancel your subscription.
Jaimy is a subscription-based personal automation and productivity service that integrates with your communication and calendar tools to help you manage tasks, communications, and scheduling efficiently. Our Service can read data (with your permission) from your emails, SMS, messaging apps (like Telegram, WhatsApp, Slack), calendars, and other supported platforms, and can also write or make changes to your calendars or send messages on your behalf for automation purposes. For example, Jaimy can help to automatically schedule meetings by reading your calendar availability and sending invites, prioritize or summarize your emails, send reminders via SMS, or unify notifications from various messaging apps.
The Service may utilize artificial intelligence (AI) and other advanced algorithms to provide smart recommendations or automated content (for instance, suggesting an email reply or summarizing a long message). Jaimy is offered to users primarily in the United States and Canada, and is provided over the internet via our app or web interface. Some features may require a stable internet connection or access to third-party accounts.
Jaimy operates on a subscription model, meaning certain advanced features or continued use beyond a trial period require a paid subscription. Users may sign up for different plans (e.g., free trial, basic, premium), which might vary in the number of integrations allowed, volume of data processed, or priority support. Subscription details, including pricing, billing frequency (monthly/annual), and included features, are provided at the time of sign-up and on our website or app store listing. By subscribing, you agree to pay the applicable fees and charges for the plan you select, and to any additional usage charges that may apply (if clearly disclosed). All fees are stated in U.S. dollars unless otherwise specified.
The Service is continually evolving. We reserve the right to add, change, or remove features and integrations at our discretion in order to improve the Service or comply with legal or technical requirements. We will endeavor to notify you of any major changes to functionality that may impact your use (for example, if we discontinue an important feature or an integration with a particular third-party service). Our goal is to keep improving Jaimy, and we appreciate feedback. If you have suggestions or find issues, you can contact us through support channels.
To use Jaimy, you may need to create an account. When registering for an account, you agree to provide accurate, current, and complete information about yourself as prompted (including a valid email address and any required contact information). You are responsible for maintaining the accuracy of this information and updating it promptly if it changes.
You are responsible for maintaining the confidentiality of your account credentials, including any login ID and password or authentication tokens. You must not share your account credentials with others. You are fully responsible for all activities that occur under your account (including any actions taken by the Service on your behalf in your integrated accounts). If you suspect any unauthorized use of your account or a security breach, you must notify us immediately.
You are also responsible for all content and data that you provide to the Service or that is accessed by the Service through your integrations. You represent and warrant that you have all necessary rights to provide such content and to grant Jaimy access to it for the purposes of the Service. For example, if you connect a company email account, you confirm that you are authorized by your company to use Jaimy with that account and that doing so does not violate any company policies or third-party agreements.
You must ensure that your use of the Service (and our access to your data) complies with all applicable laws and regulations, as well as the terms of service of any third-party accounts you connect. You are responsible for your conduct while using Jaimy and for any consequences thereof.
We reserve the right to suspend or terminate your account (and access to the Service) if any information provided during the registration process is false, outdated, or incomplete, or if we have reason to believe you have otherwise violated these Terms.
One of Jaimy's core functionalities is to integrate with external services you use. By linking or connecting an account or service to Jaimy, you grant us permission to access and use the information from that service as described in our Privacy Policy and in these Terms. This permission is what allows Jaimy to read your emails, messages, or calendar events, and to perform actions like sending an email or creating a calendar entry on your behalf.
All integrations are done through authorized APIs and protocols. We use OAuth 2.0 or similar secure methods to request access to your third-party accounts, meaning you will be directed to the third party (such as Google, Microsoft, Slack, etc.) to log in and grant Jaimy specific permissions. Jaimy will then receive an access token to interact with that service within the scope of permissions you approved. At no point do we ask for or store your third-party account passwords.
It is your responsibility to carefully review the permission scopes being requested when you connect an integration. For example, we will explicitly request read access to your emails or read/write access to your calendar. If you are not comfortable with granting certain permissions, you should decline to connect that service (though note that declining required permissions may limit or disable related features).
You can view and manage the services linked to your Jaimy account in our app settings. You may disconnect any integration at any time. Additionally, most third-party providers (such as Google) allow you to revoke permissions from their own security settings dashboard. If you revoke or disconnect an integration, Jaimy will lose access to that account immediately and will no longer be able to perform related functions. It is your responsibility to disconnect any services that you no longer want Jaimy to access. Keep in mind that revoking certain permissions may impact the Service's functionality (for instance, if you revoke calendar access, Jaimy cannot schedule meetings for you).
Jaimy may periodically revalidate or ask you to re-confirm permissions (for example, if a token has expired or if our required scopes change). We will always be transparent about what access we are requesting. We will not turn on any new data integration or expanded permission without informing you and obtaining your consent. In short, your explicit consent is required for each integration, and you remain in control of those connections at all times.
Through your use of Jaimy, you may interact with or utilize third-party services that are not operated by Jaimy. These include the communication and calendar platforms you connect (like Google, Microsoft, Slack, etc.) as well as third-party service providers we use (like Twilio or OpenAI). Please note that these are independent third parties, and their services are governed by their own terms and privacy policies. Jaimy does not have control over the content, information, or actions of these third-party services, and we are not responsible for themifttt.com.
For example, Jaimy might retrieve emails from Gmail or send a message via WhatsApp, but we do not control Gmail or WhatsApp. If those services experience outages, delete content, or otherwise behave unexpectedly, Jaimy cannot guarantee their performance. Similarly, if a third-party API (like Google's or Slack's) changes or limits our access, that may impact how our Service works. You acknowledge that Jaimy is dependent on the availability and proper functioning of third-party APIs and services, and that we are not liable for any downtime, data loss, or feature changes caused by third-party providers.
When you follow links in our app or communications (for example, a link to view a full email in Gmail or to open an event in a calendar app), or when the Service interacts with an external site or service, you are subject to that third party's terms. We encourage you to review the terms and policies of any third-party services you connect or use via Jaimy. You accept that there are risks in using third-party services and that Jaimy is not responsible for such risksifttt.com.
While we strive to maintain integrations, service providers may be changed or updated. We reserve the right to replace, add, or remove third-party service providers that we use to operate Jaimy's functionality, without individual notice to you, as long as such changes do not reduce the privacy protections described in our Privacy Policy. For example, we may switch SMS providers or adopt a new AI provider to improve efficiency. Rest assured, any such changes will be in compliance with applicable laws and any relevant third-party terms or regulations. We will continue to handle your data in accordance with our Privacy Policy and will update our documentation or policies to reflect significant changes in third-party partnerships.
In summary, Jaimy serves as a unified interface to work with multiple platforms, but we cannot guarantee and are not responsible for the quality, accuracy, or availability of content originating from third-party services. By using Jaimy, you agree that Jaimy Inc. has no liability for the actions, omissions, or policies of any third-party service. To the extent that a dispute arises between you and a third-party (for example, an issue with an email provider or another user on a platform), you agree that Jaimy is not obligated to intervene. However, if an integration is not functioning as intended on our side, we will of course do our best to fix it and support you.
Certain features of Jaimy require a paid subscription. By subscribing to a Jaimy plan, you agree to pay the recurring subscription fees and any applicable taxes (collectively, "Fees"). Billing Cycle: Fees will be charged on a periodic basis (e.g., monthly or annually) as described when you sign up. Your subscription will automatically renew at the end of each billing cycle unless you cancel it per the cancellation procedure below. We will charge the payment method you have on file for the renewal, unless you update your payment information. It is your responsibility to ensure that your payment information is accurate and up to date.
Trial Periods: We may offer free trials or introductory pricing for new users. If we do, the terms of the trial (such as duration and what happens at trial end) will be provided. Generally, unless you cancel before the trial ends, your trial will convert to a paid subscription and we will charge your provided payment method at the standard rate.
Refunds: All charges are non-refundable except as required by law. We do not provide refunds or credits for partial use, mid-cycle cancellations, or unused features. For example, if you cancel in the middle of a month, you will not receive a pro-rated refund for the remainder of that period. If you believe an error has been made in billing, please contact us promptly and we will address it. In the event we terminate your account without cause, we may provide a pro-rata refund for the remaining unused period of your subscription.
Changes to Fees: Our subscription fees are subject to change. We may increase our prices or add new charges for new features. If we do so, and you are on a recurring subscription, we will provide advance notice of the change (typically via email or via notification in the app) at least 30 days before the new fees apply to you. Fee changes will typically take effect at the start of your next billing cycle following the notice. If you do not agree with the price changes, you may cancel your subscription before the changes apply. By continuing to use the Service after the price change takes effect, you agree to the new price.
Taxes: Where applicable, sales tax or VAT may be added to your subscription fee based on the billing address you provide. You are responsible for any applicable taxes, whether they are included in the billing or assessed later by tax authorities.
Payment Processing: Payments are processed by a third-party payment processor (e.g., Stripe, PayPal, app store, etc.). By subscribing, you also agree to the payment processor's terms and conditions. We do not store full payment card details on our servers; that information is handled by the processor. However, we may receive and store limited information like the last four digits of your card, expiration date, and billing ZIP/postal code for records and to comply with accounting rules.
If a payment fails (due to an expired card, insufficient funds, or otherwise), we will attempt to notify you. We may retry the payment, but if the issue persists, we reserve the right to suspend or cancel your subscription. You agree to promptly update your payment information if it changes to avoid any interruption in service.
You have the right to cancel your subscription at any time. You can do this through the account settings in the Jaimy app or by contacting our support. If you cancel, the cancellation will take effect at the end of your current billing period. You will continue to have access to the paid features until that billing period ends, and then your account may be downgraded to a free tier (if available) or limited functionality. We do not provide refunds for the remainder of the period after cancellation; your subscription simply will not auto-renew thereafter. It is your responsibility to cancel before renewal if you do not wish to be charged again.
We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) under the following circumstances: (a) if you violate any provision of these Terms or our Privacy Policy; (b) if you fail to pay subscription fees when due and do not remedy within a reasonable grace period; (c) if you engage in fraudulent, abusive, or unlawful activities, or misuse the Service in a way that could harm Jaimy or others; or (d) if we decide to discontinue the Service entirely. In most cases, we will provide you with notice of the breach and an opportunity to resolve it, but if the violation is severe or poses immediate harm, we may suspend/terminate immediately without notice.
If we terminate your account due to a breach of these Terms or misconduct, you will not be entitled to any refunds. If we terminate the Service or your account for convenience (not due to your fault), we will refund any prepaid amounts for the remaining subscription term.
Upon termination of your account, whether by cancellation or by our action, your right to use the Service will cease. We will remove your access and may delete your account data in line with our data retention policies (and as described in our Privacy Policy). It is therefore important that if you want to retain any data (like a report or summary generated by Jaimy), you should save it locally before ending your account. However, note that termination does not automatically delete data we obtained from your integrations; you should also revoke Jaimy's access to each third-party service to fully cut off our access (see Integrations and Permissions above). We are not liable to you or any third party for termination of your account or access to the Service, provided we have acted in accordance with these Terms.
Any provisions of these Terms that by their nature should survive termination (such as limitation of liability, disclaimer of warranties, indemnity, and governing law) will survive the termination of your use of the Service.
We expect users to use Jaimy responsibly and in compliance with the law. By using the Service, you agree not to engage in any of the following activities:
Violation of the above may result in immediate suspension or termination of your account, and may expose you to legal consequences. Jaimy reserves the right (but not the obligation) to investigate any violation of these Terms and to cooperate with law enforcement in prosecuting users involved in unlawful activities.
Jaimy's Intellectual Property: The Service (including our software, mobile app, website, and all content and materials available through it, except for your personal data or content) is owned by or licensed to Jaimy Inc. and is protected by intellectual property laws. This includes all software code, databases, algorithms, designs, text, graphics, logos, trademarks, and trade names associated with Jaimy. We retain all rights, title, and interest in and to the Service and its content. Under these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes, and only as expressly permitted by these Terms. You may not reproduce, distribute, publicly display, or create derivative works of our content without our prior written consent. All trademarks and logos displayed in the Service are our property (or that of our partners), and this Agreement does not grant you any license to use them.
Your Data and Content: Jaimy does not claim ownership of the emails, messages, calendar events, or any other content from your personal accounts that you integrate with the Service. You retain all ownership rights to your data and content. However, by using the Service and connecting your accounts, you grant Jaimy a limited license to access, use, store, and process that content for the purpose of providing the Service to you (and for no other purposes). This license is worldwide, non-exclusive, royalty-free, and includes the rights for us to copy, transmit, display, and reformat your content as needed to deliver the functionality (for example, to show you your email within our app, to run it through an algorithm to generate a summary, or to send a message to a recipient you designate). We will only share your content with third-party service providers as outlined in the Privacy Policy and these Terms (e.g., sending your message through an API to get it delivered, or processing text with an AI service), and always under strict obligations of confidentiality.
Nothing in these Terms gives Jaimy any rights to use your content for marketing or advertising. We do not use the content from your integrated accounts in our public materials or on our website, etc., unless you separately give us permission (for instance, providing a testimonial or case study – which is entirely up to you and outside the scope of these Terms).
If you provide feedback, suggestions, or ideas about Jaimy ("Feedback"), you agree that we are free to use such Feedback without any restriction or compensation to you. Feedback is entirely voluntary, and we may use it to improve the Service or for any other purpose.
Jaimy is provided "AS IS" and "AS AVAILABLE." While we strive to offer a great and reliable service, we cannot guarantee that the Service will be perfect. You use the Service at your own risk. To the fullest extent permitted by law, Jaimy disclaims all warranties, express or implied, in connection with the Service and your use of it. This includes, but is not limited to, no warranties of merchantability, fitness for a particular purpose, title, non-infringement, or accuracy of data. We do not guarantee that the Service will meet your requirements, achieve any intended results, be compatible with all systems, or be secure or free from error or viruses. Specifically:
Some jurisdictions do not allow the exclusion of certain warranties. If those laws apply to you, some of the above disclaimers may not apply to the extent prohibited. However, in such cases, our warranties will be limited to the maximum extent permitted by law.
To the fullest extent permitted by applicable law, Jaimy Inc. and its directors, officers, employees, and agents will not be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages. This limitation includes, without limitation, any loss of profits, loss or corruption of data, loss of goodwill, device damage, or the cost of procurement of substitute services.
We are also not liable for any third-party conduct or third-party content accessed via the Service, as discussed in the Third-Party Services section. This means if something goes wrong on the side of an integrated service (like a breach of your email provider or an error by an AI service), Jaimy is not responsible for those events.
Maximum Liability: In any case, our total cumulative liability to you for all claims arising out of or relating to the Service will not exceed the amount actually paid by you to Jaimy in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid Jaimy any amount (for example, using a free version), our total liability shall be zero or the minimum amount permitted by law. You agree that this limitation of liability is reasonable given the nature of the Service and that without it, the pricing and availability of the Service would be different.
Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitation may not apply to you fully. In such jurisdictions, Jaimy's liability will be limited to the greatest extent allowed by law.
You agree to indemnify, defend, and hold harmless Jaimy Inc. and its affiliates, officers, agents, partners, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with: (a) your access to or use of the Service (including any actions taken by Jaimy on your behalf with third-party integrations), (b) your violation of any provision of these Terms or of any applicable law or regulation, or (c) your infringement of any rights of any other person or entity (such as sending unauthorized messages or violating privacy rights through the Service).
For example, if another person claims that Jaimy's accessing of their information in your email (due to you emailing them) is unauthorized, or if a third-party service provider fines us because you used the Service in a way that violates their terms, you may be responsible for those costs. Likewise, if you use Jaimy to send emails that defame someone and they sue us, you agree to indemnify us for that.
We reserve the right to handle our legal defense as we see fit, including choosing our counsel, and you agree to cooperate with us in the defense of any claim. You may not settle any claim that imposes any obligation or liability on Jaimy without our prior written consent.
We are always working to improve Jaimy and add new features. Therefore, the Service (including any specific features or integrations) may change over time. We may from time to time update, modify, or discontinue (temporarily or permanently) the Service or any part or feature of it. For example, we may remove an integration if the third-party no longer allows it or if it poses security issues, or we might add new automation features or change how the interface works.
Whenever we make a material change that adversely affects the way you use the Service, we will try to give you prior notice (for example, via an email or an in-app alert). However, there may be cases where advance notice is not feasible (such as a critical security update or an emergency downtime). We also reserve the right to create limits on use and storage at our sole discretion at any time, again with notice where reasonably possible.
You acknowledge that various things can affect the Service's performance or the ability for you to access it at certain times, including without limitation, your own device, network connectivity, third-party services, etc. Jaimy takes no responsibility for any effect on the Service caused by such external factors.
We also may from time to time offer beta features or trials of new functionality. These might be labeled as "beta", "preview", "early access" or similar, and may be offered for testing purposes. Such features are offered as is, without any warranties, and may be modified or discontinued at our discretion.
This Agreement and any dispute arising out of or in connection with it (including any alleged breach) shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. If you are a consumer residing in Canada or another state/province with mandatory consumer protection laws, this choice of Delaware law may not deprive you of any protections given under your local law.
Except where prohibited by applicable law, you agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Delaware. You consent to the jurisdiction of and venue in such courts and waive any objection that it is an inconvenient forum. However, Jaimy reserves the right to seek injunctive relief in any jurisdiction in case of misuse of our intellectual property or other circumstances requiring immediate legal action.
To the extent permitted by law, you and Jaimy agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis, and neither party will seek to have any dispute heard as a class action, representative action, collective action, or private attorney general action.
These Terms, together with our Privacy Policy (which is incorporated by reference), constitute the entire agreement between you and Jaimy regarding the Service and supersede any prior agreements or understandings, whether written or oral, relating to your use of the Service.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Jaimy.
You may not assign or transfer these Terms or your rights or obligations under them, in whole or in part, to any other person or entity without our prior written consent. Any attempted assignment without consent is void. We may assign these Terms or any of our rights and obligations hereunder to any party at any time without notice (for instance, in the event of a merger, acquisition, or sale of assets).
You and Jaimy are independent contractors, and these Terms do not create any agency, partnership, joint venture, or employee-employer relationship. You do not have any authority of any kind to bind us in any respect whatsoever.
There are no third-party beneficiaries to these Terms; the agreement is solely between you and Jaimy.
